1. Scope of this Agreement

These Terms of Service (hereinafter, "Terms") govern access to and use of the ommi.shop website (the "Site"), the dedicated merchant app (the "Merchant App"), and all related services offered by ommi.shop ("ommi", "we", "our").

By accessing or using ommi.shop, you accept these Terms on your own behalf or on behalf of the entity you represent. If you do not accept these Terms, you may not access or use ommi.shop.

• The ommi.shop website and all its features
• The dedicated merchant app for managing accounts, products, and data
• Marketplace services for publishing and promoting products
• All tools, features, and technologies provided by ommi.shop

1.1 Acceptance and Contractual Capacity

By using ommi.shop you declare and warrant that:

• You have read, understood, and accept these Terms
• You are of legal age (at least 18 years) to enter into a binding contract in your country of residence
• You have the legal authority to bind yourself or the entity you represent
• You have not been previously suspended or removed from ommi.shop
• Your use of ommi.shop does not violate any applicable law or regulation

2. Services Overview

ommi.shop operates as a curated marketplace for artists, artisans, and creators ("Artists" or "Merchants") who wish to publish, promote, and sell their products ("Items") through the platform.

We offer:

• A web platform for viewing and promoting products

• A dedicated merchant app for managing accounts, products, and data

• Marketing and advertising services to promote the marketplace, Merchants, and their products

• Tools for managing and modifying Merchant and Items data through the Merchant App

2.1 Marketplace and Product Publication

ommi.shop provides a platform that allows Artists/Merchants to:

• Create and manage a merchant account

• Publish information about their products (Items), including images, descriptions, prices, and other relevant information

• Display their products on the ommi.shop marketplace

• Manage and modify all data related to their account and products through the dedicated Merchant App

2.2 Dedicated Merchant App

ommi.shop provides a dedicated Merchant App that allows Artists/Merchants to:

• Manage their merchant account

• Create, modify, update, and remove information about their products (Items)

• View and modify their personal and contact data

• Monitor their publications and manage their profile on the marketplace

The Merchant App is the primary tool through which Merchants can manage all their data and products. ommi.shop reserves the right to modify, update, or discontinue the Merchant App with reasonable notice.

2.3 Marketing and Advertising

ommi.shop uses data from Artists/Merchants and their Items to:

• Promote and advertise the ommi.shop marketplace

• Advertise and promote Merchants and their profiles

• Advertise and promote products (Items) published on the marketplace

• Send promotional communications, newsletters, and updates related to the marketplace

• Develop marketing and advertising campaigns to increase visibility of the marketplace and Merchants

By accepting these Terms, the Artist/Merchant authorizes ommi.shop to use their data and that of their Items for the marketing and advertising purposes indicated above.

3. Account Registration and Merchant Acceptance

To use ommi.shop marketplace services, you must create a merchant account. Registration requires:

• Providing accurate and complete information

• Keeping account information up to date

• Protecting the security of login credentials

ommi.shop reserves the right to accept or reject any registration request at its discretion. Acceptance as a Merchant may be revoked at any time by ommi.shop in case of violation of these Terms or for any other legitimate reason.

4. Data Collection and Use

ommi.shop collects and processes the following data:

• Personal data of Artists/Merchants: first name, last name, email address, phone number, contact information, account data

• Product data (Items): images, descriptions, prices, technical information, availability, and any other information provided by the Artist/Merchant

• Usage data: information on how Artists/Merchants use the Merchant App and marketplace

5. Data Management via Merchant App

Artists/Merchants can manage all their data and that of their Items exclusively through the dedicated Merchant App. Through the Merchant App it is possible to:

• Modify personal and contact data

• Add, modify, update, or remove information about their products (Items)

• Manage account settings

• View publication status

ommi.shop is not responsible for any errors or omissions in data entered by the Artist/Merchant through the Merchant App. The Artist/Merchant is responsible for keeping all information accurate and up to date.

6. Artist/Merchant Obligations

Artists/Merchants commit to:

• Provide accurate, complete, and up-to-date information
• Comply with all applicable laws and regulations
• Not publish illegal, offensive, defamatory content or content that violates third-party rights
• Not use ommi.shop for fraudulent or deceptive activities
• Protect the security of their account and credentials
• Immediately notify ommi.shop of any unauthorized use of their account
• Respect third-party intellectual property rights
• Not interfere with the operation of the marketplace or Merchant App

7. Prohibited Products

It is prohibited to publish on ommi.shop products that:

ommi.shop reserves the right to remove any product that violates these Terms without notice.

• Are illegal or violate applicable laws or regulations
• Contain offensive, defamatory material or material that incites hatred
• Violate third-party intellectual property rights
• Are dangerous, harmful, or pose a security risk
• Are false, counterfeit, or deceptive
• Violate third-party privacy or publicity rights
• Contain inappropriate or pornographic adult material

8. Intellectual Property

The Artist/Merchant retains all intellectual property rights to their products (Items) and published content. However, by accepting these Terms, the Artist/Merchant grants ommi.shop a non-exclusive, worldwide, royalty-free license to:

• Use, reproduce, modify, adapt, and publish content to promote the ommi.shop marketplace

• Use images, descriptions, and product information for marketing and advertising purposes

• Display products on the Site and promote them through various marketing channels

This license remains in effect even after content is removed from the marketplace, unless explicitly revoked by the Artist/Merchant.

9. ommi.shop Rights

ommi.shop reserves the right to:

• Accept or reject any registration request as a Merchant
• Modify, suspend, or discontinue any aspect of the service at any time
• Remove or modify content that violates these Terms
• Suspend or terminate accounts that violate these Terms
• Modify these Terms with reasonable notice
• Use data from Artists/Merchants and their Items for marketing and advertising purposes as described in these Terms

10. Limitation of Liability

ommi.shop provides the service "as is" and "as available". We do not guarantee that:

• The service will be uninterrupted, timely, secure, or error-free

• Results obtained from using the service will be accurate or reliable

• Any errors in the service will be corrected

ommi.shop will not be liable for direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the service, including but not limited to loss of profit, data, or other intangible losses.

11. Indemnification

The Artist/Merchant agrees to indemnify and hold harmless ommi.shop, its employees, agents, and affiliates from any claim, damage, loss, liability, and expense (including reasonable legal fees) arising from:

• The Artist/Merchant's use of the service

• Violation of these Terms

• Violation of any law or regulation

• Violation of third-party rights

12. Termination

The Artist/Merchant may terminate their account at any time through the Merchant App or by contacting ommi.shop.

ommi.shop may suspend or terminate an Artist/Merchant's account at any time, with or without notice, for any reason, including but not limited to violation of these Terms.

Upon termination, ommi.shop may remove or disable access to the account and associated content. Provisions of these Terms that by their nature must survive termination will continue to apply.

13. Terms Modifications

ommi.shop reserves the right to modify these Terms at any time. Substantial changes will be communicated to Artists/Merchants via email or through a notice on the Site or in the Merchant App.

Continued use of the service after publication of changes constitutes acceptance of the new Terms. If you do not accept the changes, you must discontinue use of the service and close your account.

14. Governing Law and Jurisdiction

These Terms are governed by Italian law. Any dispute arising from or related to these Terms will be subject to the exclusive jurisdiction of Italian courts.

In case of disputes, the parties commit to attempting first an amicable resolution through direct negotiation.
